Terms of Service

The terms that govern your use of the FiscalDB website. Use of the software and services is governed by our commercial agreements.

1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of the FiscalDB website and related public resources, operated by Binlogic (“FiscalDB”, “we”, “us”). By accessing the site you agree to these Terms. If you do not agree, do not use the site.

Use of the FiscalDB software and services is governed by a separate commercial agreement — the Master Subscription Agreement and, where personal data is processed, the Data Processing Agreement. Where those agreements conflict with these website Terms, the executed commercial agreement controls for the software and services.

2. Proprietary software; no open-source license

FiscalDB and the FiscalDB engine are proprietary software. All rights are reserved. The software is made available only under a commercial license and, where applicable, an evaluation license under NDA. No part of the engine is released under an open-source license, and nothing on this site grants any license to the software except as expressly set out in an executed commercial agreement.

Unless and until you enter such an agreement, you may not use, copy, modify, distribute, reverse engineer, decompile or create derivative works of the FiscalDB software.

3. Permitted use of the website

You may use the website for lawful, informational purposes and to evaluate whether FiscalDB fits your needs. You agree not to:

  • Access the site or any account by unauthorized means, or probe, scan or test the vulnerability of our systems except through our coordinated disclosure process.
  • Interfere with or disrupt the integrity or performance of the site, or attempt to gain unauthorized access to it or related systems.
  • Use the site to transmit malware, spam or unlawful content, or to infringe the rights of others.
  • Scrape, frame or systematically extract content except as permitted by our robots directives or with our written consent.

4. Intellectual property

The website and its content — including text, graphics, logos, the FiscalDB name and the codename Tributum, software, and the look and feel — are owned by or licensed to FiscalDB and protected by intellectual property laws. Except for the limited right to view the site, no rights are granted to you.

5. Accounts, evaluations and license keys

Some areas (such as documentation, evaluations or downloads) may require an account or a license key. You are responsible for keeping credentials and keys confidential and for all activity under them. Evaluation access is time-limited, non-transferable and provided strictly under the applicable evaluation terms and NDA.

6. Third-party links and services

The site may link to third-party websites or services that we do not control. We are not responsible for their content, policies or practices, and your use of them is at your own risk and subject to their terms.

7. Disclaimers

The website and its content are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement. Content is for general information and does not constitute legal, tax or compliance advice.

8. Limitation of liability

To the maximum extent permitted by law, FiscalDB will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from your use of the website. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Changes to these terms

We may update these Terms from time to time. The version in force is the one published here, identified by the “last updated” date. Your continued use of the site after changes take effect constitutes acceptance of the revised Terms.

10. Governing law and contact

These Terms are governed by the laws applicable to FiscalDB’s place of incorporation, without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction, except where mandatory consumer law provides otherwise.
